Shardul Amarchand Mangaldas & Co. Advises on Acquisition of AWS Truepower India

Shardul Amarchand Mangaldas represented UL LLC in relation to the indirect acquisition of AWS Truepower India LLP by UL LLC. This transaction is part of a global transaction whereby UL LLC acquired AWS Truepower LLC, USA and consequently has indirectly acquired AWS India, a limited liability partnership in which AWS USA is the majority partner.

UL LLC is a premier global independent safety science company that has championed progress for more than 120 years. UL uses research and standards to continually advance and meet ever-evolving safety needs. It partners with businesses, manufacturers, trade associations and international regulatory authorities to bring solutions to a more complex global supply chain. AWS Truepower is an Albany, NY-based company providing renewable energy services through five business units covering project advisory, performance engineering, due diligence, information services and grid solutions.

The Merger & Acquisition and Tax teams of Shardul Amarchand Mangaldas advised on the transaction and were responsible for due diligence of AWS India, structuring of the local transaction, drafting of transaction documents and coordination with the Acquirer for various signing, closing and post-closing related compliances. The transaction led by Ms. Akila Agrawal, Partner and included Ms. Megha Bhargava, Principal Associate; Mr. Rishab Basu, Associate and Ms. Ananya Kulkarni, Associate. The Tax Team was led by Mr. Amit Singhania, Partner and Ms. Gouri Puri, Principal Associate.
