Shardul Amarchand Mangaldas & Co. Advises TPG on its Acquisition of Majority Stake in Rhea Healthcare

Shardul Amarchand Mangaldas & Co. (SAM & Co.) advised TPG on acquisition of majority stake in Rhea Healthcare Private Limited (RHPL). RHPL is a private company, which operates a network of mother and child care centres in India under the ‘Motherhood’ brand.

Shardul Amarchand Mangaldas & Co Team acted as the legal counsels to TPG in relation to conducting due diligence on RHPL, and negotiating and drafting all necessary documentation.The Private Equity, Tax, Real Estate, Intellectual Property, and Litigation teams of the Firm were involved in the transaction. The Private Equity team was led by Iqbal Khan, Partner; and included Mr. Shahin Umani, Senior Associate; Ms. Ranjini Ramesh, Associate; and Tanavi Mohanty, Associate. The Tax counsels to the transaction were Mr. Abhay Sharma, Partner; and Mr. Oscar D’Sa, Principal Associate. The Real Estate counsels to the transaction were Ms. Ashoo Gupta, Partner; and Daryush Marfatia, Principal Associate – Designate. The Intellectual Property counsels to the transaction were Mr. Dev Robinson, Partner; and Madhur Chopra, Associate. The Litigation counsels to the transaction were Mr. Ameya Gokhale, Partner; Ms. Meghna Rajadhyaksha, Principal Associate – Designate; and Mr. Umang Singh, Associate.

The Deal was valued at approximately USD 35 million.

The Deal was signed and closed on July 15, 2016.
